Re: Request for Loan

Gentlemen:

These instructions and acknowledgement are provided in connection with an agreement entitled, Settlement Agreement and Release of Claims dated March 30, 2001, (“Agreement”):

1. Pursuant to paragraph 4 c of the Agreement, I request a loan from Green Hills Software, Inc. in the aggregate amount of $150,000 as of March 30, 2003. I request two separate checks to be drawn by Green Hills: a) $132,000 made payable to “Melinda Pillsbury-Foster” and b) $18,000 made payable to “Melinda Pillsbury-Foster and Todd A. Porter.” The loans from Green Hills shall be evidenced by a promissory note in the form attached hereto as Exhibit A.

2. The undersigned acknowledges that the above loan in the amount of $150,000 and prior loans in the amounts of $150,000 and $300,000, respectively, both of which are subject to the to the terms of a Security Agreement dated March 30, 2001 executed in connection with the Agreement.
